Information About Hiring An Intermediary

Owners receive constant solicitations from M&A firms and brokers who want to represent you in a ‘sell-side’ engagement. The general proposal is that the M&A firm will get to know your business, prepare materials to market your company, cast a wide net to attract buyers, run a process whereby the potential buyers compete with each other to increase the selling price to you, and then offer to shepherd the transaction to a successful closing where they get paid a percentage of the total selling price.

Since most M&A firms provide the same basic offering, the challenge for most owners is determining which firm to work with and whether or not that person or firm is the best fit for their needs. Pinnacle assists you in this process by also getting to know you and your business and confidentially gathering information about your prospects for sale. However, instead of representing one M&A firm, we will (again, confidentially) look to match you with the M&A firm that is best suited to your needs. With more than a dozen firms to choose from, Pinnacle works to get you paired with the M&A firm that is the best fit, even if we need to interview multiple firms to do so.

Licensure Requirements

Although many owners are not aware of it, the sale of your privately-held business – in almost all cases – is technically the sale of a ‘security’ and falls under the purview of the Securities Exchange Commission (SEC) and FINRA. This simply means that M&A firms who represent you to sell your business need a license to do so. All of the M&A firms in Pinnacle’s network have these required licenses to reduce one more level of risk in your transaction.
