Although many owners are not aware of it, the sale of your privately-held business – in almost all cases – is technically the sale of a ‘security’ and falls under the purview of the Securities Exchange Commission (SEC) and FINRA. This simply means that M&A firms who represent you to sell your business need a license to do so.
